The agreement governing purchases of laboratory reference materials from True Adam Research LLC.

1. Agreement
These Terms of Sale govern your use of this site and any order you place with True Adam Research LLC ("True Adam Research", "we", "us"), which trades as True Adam Chem. By using this site or placing an order you agree to them, to the Privacy Policy, and to the Disclaimer.
If you do not agree, do not use this site.
2. Eligibility
Who may buy
Access to this site and the purchase of any material require that you are at least 21 years of age, that you are acquiring the material for qualified laboratory research use, and that you are able to receive, handle, store, and dispose of laboratory chemicals safely and lawfully at the address you provide.
We may decline to open an account or accept an order at our discretion, and may ask for information about intended use or institutional affiliation before accepting one.
3. What we supply, and the only use permitted
Research use only
All materials supplied by True Adam Research LLC are analytical-grade biochemical reference materials, intended exclusively for in-vitro laboratory research, analytical method development, and identity verification by qualified researchers. They are not intended for human or animal consumption, in-vivo experimentation, therapeutic use, clinical use, diagnostic use, dietary supplementation, or administration of any kind.
No resale for human or animal use
These materials may not be resold, redistributed, repackaged, or otherwise transferred for human or animal use, and may not be supplied to any party the purchaser knows or reasonably suspects intends such use.
You agree that you will not:
use, administer, or supply any material for human or animal consumption, in-vivo experimentation, therapeutic, clinical, or diagnostic use, or dietary supplementation;
represent any material as a drug, food, dietary supplement, cosmetic, or medical product;
request, or ask our staff to provide, guidance on administering any material to a human or an animal.
We do not answer questions about human or animal use. Asking is grounds for cancelling an order and closing an account.
4. Regulatory status
Not a drug or supplement
These materials are not approved by the U.S. Food and Drug Administration. They are not intended to diagnose, treat, cure, or prevent any disease, and must not be represented or used as drugs, foods, dietary supplements, cosmetics, or medical products.
What kind of supplier we are
True Adam Research LLC is a supplier of laboratory chemicals. It is not a compounding pharmacy or compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, and is not an outsourcing facility as defined under Section 503B of that Act.
Your legal responsibility
The purchaser is solely responsible for ensuring that acquisition, possession, handling, and disposal of these materials complies with all applicable local, state, and federal laws and regulations.
5. Accounts
You are responsible for the accuracy of the information on your account and for keeping your credentials confidential. Tell us promptly if you believe your account has been accessed by someone else.
6. Orders and pricing
Prices are shown in U.S. dollars and may change without notice. A price is fixed for a given order once that order is created.
Placing an order is an offer to buy. No contract exists until we accept the order, and we may decline it.
Our right to decline orders
True Adam Research LLC reserves the right to decline, cancel, or refund any order at its sole discretion, including where an order or a customer communication indicates an intended use outside qualified laboratory research.
7. Payment
The payment methods available to you are shown at checkout.
An order paid by bank or app transfer is not treated as paid until we have confirmed receipt against the reference code shown at checkout, and it ships once we have.
An order that remains unpaid after the period shown at checkout may be cancelled.
8. Shipping
Where we ship
We ship within the United States only. We do not export, and we do not ship to freight forwarders.
You are responsible for the accuracy of your shipping address. Title and risk of loss pass to you when the carrier takes possession.
Delivery estimates are estimates. We are not liable for carrier delays.
9. Returns and refunds
Returns of opened materials
Because these are laboratory chemicals whose integrity depends on storage and handling after they leave us, we do not accept returns of materials that have been opened, reconstituted, or removed from their original packaging.
Damaged or incorrect orders
If an order arrives damaged, incomplete, or incorrect, contact us within 7 days of delivery with your order number and photographs of the shipment and its packaging, and we will replace it or refund it.
Refunds are issued to the payment method used where possible.
10. Prohibited conduct
You may not misrepresent your identity, eligibility, or intended use; resell or redistribute materials in breach of the section "What we supply, and the only use permitted"; use this site to solicit or discuss human or animal use; attempt to gain unauthorised access to the site or to other users' accounts; or scrape, copy, or republish site content.
11. Suspension and termination
We may suspend or close an account, and cancel any pending order, where we believe these Terms have been breached or where an order is inconsistent with qualified research use.
12. Intellectual property
Site content — text, layout, photography, analytical presentation, and the True Adam Chem name and marks — belongs to True Adam Research LLC and may not be reproduced without permission.
13. Assumption of risk
You acquire and handle these materials at your own risk, and you accept full responsibility for their safe handling, storage, use, and disposal once they are in your possession.
14. No warranties
No warranty
Materials and site content are provided "as is". To the fullest extent permitted by law, True Adam Research LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
What a certificate of analysis covers
A certificate of analysis reports testing performed on a specific lot, by the laboratory named on the certificate, on the date shown. It describes that lot. It is not a warranty of any property of the material, is not a representation that the material is fit for any particular purpose, and does not extend to any other lot.
15. Limitation of liability
Limit of liability
To the fullest extent permitted by law, True Adam Research LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business, arising from these terms, from any material it supplies, or from the handling, storage, use, or misuse of that material. Total liability for any claim is limited to the amount paid for the material giving rise to it. Nothing in this provision limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to indemnify and hold harmless True Adam Research LLC and its officers and employees against claims, losses, and expenses arising from your breach of these Terms, your handling or use of any material, any representation you make about a material to a third party, and any regulatory action arising from your conduct.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. The state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, and you consent to that jurisdiction and venue.
18. Changes
We may update these Terms. The version number and effective date above change when we do. Material changes are presented for acknowledgement before your next order, and continued use after an update means you accept it.
19. General
If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and the Disclaimer, are the entire agreement between us and supersede prior discussions. Statements by staff do not vary these Terms unless confirmed in writing by an authorised officer.
